Italy Confirms Share Pledge Does Not Automatically Break VAT Group Financial Link

Summary

  • Italy’s Supreme Court reportedly considered whether a pledge over subsidiary shares prevented use of the VAT group settlement regime and concluded that a pledge does not automatically break the required financial link.
  • The reported outcome depended on the parent retaining the voting rights attached to the pledged shares, keeping the focus on effective control rather than on the existence of the security interest alone.
  • Groups using pledged participations should review the contractual allocation of voting, governance and enforcement rights against the Italian VAT-group control requirements before determining continued eligibility.

Extended article

Italy’s Supreme Court has reportedly addressed the effect of a pledge over subsidiary shares on the financial link required for VAT group settlement. The reported conclusion is that the pledge does not, by itself, prevent participation where the parent company continues to exercise the voting rights associated with the pledged shares.

The result places emphasis on the rights that remain with the shareholder. Italian VAT-group rules focus on financial, economic and organisational links, and the Italian Revenue Agency’s public guidance describes the financial link by reference to direct or indirect control and voting rights. A security arrangement that leaves those rights with the parent may therefore produce a different outcome from an arrangement that transfers voting power or effective control to the pledgee.

The available public sources reviewed for this edition did not provide the full judgment or case number. The conclusion should therefore be applied cautiously. Groups should examine the pledge agreement, any voting proxy, enforcement triggers and the rights exercisable before and after enforcement, rather than relying on the formal label of the agreement.
