Polish municipalities continue to face uncertainty over the VAT treatment of land transferred to Social Housing Initiative companies. In the reported case, a municipality had established a SIM company in which it held almost all the shares. The company performed housing-related functions, and the municipality intended to contribute an undeveloped plot on which a multi-unit residential building was to be constructed. The municipality’s principal argument was that it was implementing its own statutory housing responsibilities rather than participating in the property market. On that basis, it considered that it should be treated as a public authority rather than a VAT taxable person. The tax authority took the opposite view, treating the contribution as a civil-law transaction representing a supply of land for consideration, with the shares received by the municipality constituting the corresponding remuneration.
The reported proceedings indicate that the Regional Administrative Court sided with the tax authority. This outcome reinforces the distinction frequently drawn by the Polish tax administration between the public purpose pursued with an asset and the legal mechanism used to transfer it.
