Draft Decree regarding the circulation of electronic sales invoices as negotiable instruments

  • Purpose of the Draft Decree: The Ministry of Commerce, Industry, and Tourism (MINCIT) has released a draft decree to clarify the registration requirements for electronic sales invoices in the RADIAN system, addressing misinterpretations that have impacted the operation of electronic invoicing.
  • Key Clarifications: The decree specifies that only electronic invoices qualifying as negotiable instruments and intended for circulation need to be registered in RADIAN. It defines express acceptance as occurring within three days of electronic acceptance, while tacit acceptance happens if there is no objection within the same timeframe.
  • Implementation and Notification Requirements: The acceptance period starts upon receipt of the invoice, not the goods or services. Additionally, the legitimate holder must notify the debtor through RADIAN at least three days before the invoice’s due date. If adopted, the decree would take effect immediately after publication in the Official Gazette.
